Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Olyx (“Company”, “we”, “us”, or “our”) and its services, including our API, SDKs, dashboard, and related infrastructure (collectively, the “Service”).

By accessing or using Olyx, you agree to be bound by these Terms.

1. Overview

Olyx provides an AI governance and routing layer that sits between your application and third-party or private model providers. The Service enables request validation, data redaction, routing, logging, cost tracking, and policy enforcement for AI systems.

Olyx does not provide AI model outputs directly unless explicitly configured by you through connected providers.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

If you are using Olyx on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Your Responsibilities

You are responsible for:

  • All API requests made using your credentials
  • Ensuring your use complies with applicable laws and regulations
  • Configuring routing, safety, and governance policies appropriately
  • The legality and accuracy of the data you send through Olyx

You agree not to use the Service to:

  • Violate any law or regulation
  • Process data you do not have rights to handle
  • Circumvent security, compliance, or rate limits
  • Interfere with the integrity or performance of the Service

4. Data Handling & Privacy

4.1 Data Flow

Olyx processes requests as a gateway. Depending on your configuration:

  • Requests may be routed to third-party providers (e.g., OpenAI, Anthropic)
  • Requests may be routed to your private infrastructure (VPC deployments)
  • Requests may be blocked based on safety or policy rules

4.2 Logging & Storage

Olyx may store:

  • Request metadata (timestamps, latency, cost)
  • Inputs and outputs (if logging is enabled)
  • Execution traces and routing decisions

For VPC deployments, data may remain entirely within your infrastructure.

4.3 Sensitive Data

You are responsible for determining whether data sent through Olyx is sensitive.

Olyx provides PII detection and redaction tools, but does not guarantee complete detection of all sensitive information.

5. Third-Party Providers

Olyx integrates with third-party AI providers.

By using these integrations, you agree that:

  • Your data may be transmitted to those providers
  • Their terms and privacy policies apply independently
  • Olyx is not responsible for their behavior, availability, or outputs

6. Service Behavior & Guarantees

6.1 Fail-Closed Design

By default, Olyx is designed to fail closed:

  • If safety checks fail → request may be blocked
  • If routing fails → request may not be executed
  • If the gateway is unavailable → requests may not reach providers

Optional fail-open behavior may be configured at your discretion.

6.2 No Output Guarantees

Olyx does not guarantee:

  • Accuracy of AI outputs
  • Fitness for any particular purpose
  • Compliance outcomes (including regulatory compliance)

7. Pricing & Usage

Usage may be billed based on:

  • Number of trace interceptions
  • Feature tier (e.g., governance depth, deployment model)
  • Enterprise agreements

You agree to pay all applicable fees. We may suspend access for non-payment.

8. Intellectual Property

Olyx retains all rights to the Service, including:

  • Infrastructure
  • APIs and SDKs
  • Observability and insights systems

You retain ownership of:

  • Your data
  • Your application logic
  • Your model configurations

9. Termination

We may suspend or terminate access if:

  • You violate these Terms
  • Your usage poses security or legal risk
  • Required by law or regulation

You may stop using the Service at any time.

10. Limitation of Liability

To the maximum extent permitted by law:

Olyx shall not be liable for:

  • Indirect or consequential damages
  • Loss of data, revenue, or profits
  • Regulatory penalties resulting from your use of AI systems

Our total liability shall not exceed the amount paid by you in the past 12 months.

11. Disclaimer

The Service is provided “as is” and “as available”.

We make no warranties regarding:

  • Availability or uptime
  • Accuracy of insights or detections
  • Completeness of audit logs
  • Security guarantees beyond documented features

12. Governing Law

These Terms are governed by the laws of Ontario, Canada, unless otherwise required by applicable regulation.

13. Changes to Terms

We may update these Terms from time to time.

If changes are material, we will provide notice. Continued use of the Service constitutes acceptance of the updated Terms.
